Terms of Service

Effective Date: 1 May 2025

These Terms of Service (these "Terms") are a legal agreement between you ("User", "you", or "your") and AI8 Ltd., located at 107 Cheapside, London, United Kingdom, EC2V 6DN ("DeepFlow", "we", "us", or "our"). These Terms govern your access to and use of the DeepFlow software-as-a-service platform and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, located at https://deepflow.com/privacy, which is incorporated herein by reference. If you are entering into these Terms on behalf of a company, organisation, or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms, in which case the terms "User," "you," or "your" shall refer to such entity and its affiliates. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Service.
Please read these Terms carefully, including the limitations of liability and disclaimers regarding AI outputs and actions.

1. Definitions
AI Agents: Refers to automated systems, primarily powered by third-party large language models (LLMs) and other AI technologies, integrated within the Service to perform tasks.
Contract: The separate written agreement between you and DeepFlow outlining the terms of your engagement, access rights, and potentially service level agreements or specific pricing arrangements.
Human Agents: Individuals who are members of your team or organisation, invited by you to participate in Workflows within the Service.
Prompts: Textual instructions or inputs provided by you to the Service to initiate Workflow generation or execution.
Service: The DeepFlow SaaS platform, including all features, functionalities, software, APIs, documentation, and content provided by DeepFlow.
Third-Party Services: Any applications, websites, services, or products that are not owned or controlled by DeepFlow but which may be accessed or integrated with through the Service (e.g., email providers, CRM systems, cloud storage, third-party LLMs).
User Data: Any data, content, text, information, files, or materials that you submit, upload, store, or process within the Service.
Workflows: Automated or semi-automated sequences of tasks, generated by the Service based on User Data and Prompts, involving AI Agents and/or Human Agents.

2. Access to the Service
2.1. Invitation Requirement: Access to the Service is granted by invitation only, typically following the execution of a separate Contract between you and DeepFlow. You acknowledge that your right to access and use the Service is contingent upon having a valid and current Contract in place, unless otherwise agreed by DeepFlow.
2.2. Account Creation: Upon invitation, you will create an individual user account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated. You are responsible for maintaining the confidentiality of your account login credentials and are solely responsible for all activities that occur under your account. DeepFlow will not be liable for any loss or damage arising from your failure to protect your account information.
2.3. Authorised Users: Access is granted to individual users affiliated with your organisation as specified in your Contract or as permitted by the Service based on your subscription level. You must not share your account credentials with any other individual. You are responsible for ensuring that all users accessing the Service through your organisation's account comply with these Terms.
2.4. Modifications to Service: We may modify, suspend, or discontinue the Service (or any part thereof) at any time, for any reason, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service, except as may be explicitly provided in your Contract.

3. Use of the Service
3.1. License: Subject to these Terms and your compliance herewith, DeepFlow grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service solely for your internal business purposes as permitted by the Service's intended functionality.
3.2. User Responsibilities: You agree to:
* Use the Service in compliance with these Terms, any applicable laws, regulations, and your Contract.
* Ensure the legality, accuracy, and appropriateness of all User Data and Prompts you submit to the Service.
* Be solely responsible for the actions taken by your Human Agents within or as a result of using the Service.
* Be solely responsible for the consequences of actions taken by AI Agents or Human Agents based on Workflows generated or executed via the Service.
* Maintain necessary rights, consents, and permissions to input and process User Data through the Service, including obtaining consent for processing any personal data.
* Comply with the terms and policies of any Third-Party Services you connect or integrate with the Service. DeepFlow is not responsible for the availability, performance, or terms of any Third-Party Services.
3.3. Fair Usage Policy: While usage on the Service may currently be provided at no additional cost (beyond your Contract), your access and use are subject to a Fair Usage Policy. This policy is designed to prevent abuse and ensure the stability and availability of the Service for all users.
* You agree not to use the Service in a manner that is excessive, unreasonable, or causes a disproportionate load on our infrastructure, as determined by DeepFlow in its sole discretion.
* DeepFlow reserves the right to monitor usage and, upon reasonable notice where practicable, to limit, suspend, or charge for usage that is deemed excessive or outside of fair use. The definition of fair usage may be updated by DeepFlow from time to time.
3.4. Prohibited Uses: You agree not to use the Service:
* For any illegal or unauthorized purpose.
* To violate any laws, regulations, or third-party rights.
* To upload, transmit, or process any data that is infringing, harmful, unlawful, threatening, defamatory, obscene, harassing, or racially or ethnically offensive.
* To generate or execute Workflows that result in spam, unsolicited communications, or harmful content.
* To upload viruses or other malicious code.
* To attempt to gain unauthorized access to the Service, other user accounts, or underlying systems or networks.
* To interfere with or disrupt the integrity or performance of the Service.
* To attempt to reverse engineer, decompile, or discover the source code of the Service or underlying AI models, except where explicitly permitted by applicable law notwithstanding this limitation.
* To use the Service to train or develop competing AI models or services.
* To probe, scan, or test the vulnerability of any system or network.
* To use automated means (e.g., bots, scripts) to access or use the Service in a way that bypasses typical user interaction, unless specifically permitted by DeepFlow.

4. AI Agent Specific Terms
4.1. Nature of AI: You acknowledge that the AI Agents utilise complex, probabilistic models (Third-Party LLMs). AI outputs can be inaccurate, biased, incomplete, or subject to "hallucinations." They should not be relied upon as factual or definitive without independent verification.
4.2. Disclaimer Regarding AI Output: DeepFlow does not warrant the accuracy, completeness, reliability, or usefulness of any output generated by AI Agents or Workflows involving AI Agents. You understand and agree that you are solely responsible for reviewing, verifying, and validating any output from AI Agents or AI-driven Workflows before taking any action based upon them.
4.3. No Liability for AI Actions: DeepFlow shall not be liable for any errors, inaccuracies, omissions, biases, or negative consequences arising from your reliance on, or actions taken based on, outputs or actions generated by AI Agents within the Service. You assume all risk associated with using AI Agents.
4.4. Data Usage by Third-Party LLMs: You acknowledge that AI Agents rely on Third-Party LLMs. While DeepFlow configures these integrations with bespoke prompt engineering to generate Workflows, DeepFlow does not provide your User Data to the Third-Party LLMs in a way that trains or improves their underlying public models. User Data is processed by these LLMs only as necessary to generate or execute Workflows for your specific account and purposes, according to the terms agreed between DeepFlow and the Third-Party LLM providers. (Note: Private cloud options may have different data handling as per separate agreements).

5. Human Agent Orchestration Specific Terms
5.1. Facilitation Platform: You acknowledge that the Service provides a platform to facilitate the assignment and tracking of tasks for your Human Agents within Workflows. DeepFlow provides the mechanism for communication and task management, but the Human Agents themselves are your personnel or contractors, not DeepFlow's.
5.2. User Responsibility for Human Agents: You are solely responsible for the performance, actions, omissions, availability, compliance, and supervision of your Human Agents. DeepFlow has no control over, and accepts no responsibility or liability for, the conduct or capabilities of your Human Agents.
5.3. No Liability for Human Agent Actions: DeepFlow shall not be liable for any failure, delay, error, or consequence arising from the actions, inactions, or performance of your Human Agents as orchestrated through the Service.

6. Third-Party Integrations
The Service allows you to connect and integrate with various Third-Party Services. By connecting a Third-Party Service, you:
Authorize DeepFlow to access and exchange data with that Third-Party Service as required to provide the Service.
Represent and warrant that you have the necessary rights and permissions to connect that Third-Party Service and grant us access.
Acknowledge that your use of any Third-Party Service is governed by the terms and conditions of that Third-Party Service provider, not by these Terms.
Agree that DeepFlow is not responsible for the availability, performance, data handling, or any other aspect of Third-Party Services, and we are not liable for any damage or loss caused by your use of or reliance on such Third-Party Services.
Acknowledge that connecting a Third-Party Service may require providing authentication credentials or authorization to DeepFlow, and you are responsible for the security of these credentials and the scope of permissions granted.

7. User Data
7.1. Ownership: As between DeepFlow and you, you retain all ownership rights, title, and interest in and to your User Data.
7.2. License to DeepFlow: You grant DeepFlow a limited, non-exclusive, worldwide, royalty-free license to process, store, transmit, and display your User Data solely as necessary to provide the Service to you and as otherwise permitted by these Terms and our Privacy Policy. This license includes the right to use User Data to generate Workflows and outputs for you, facilitate interactions with AI Agents and Human Agents, maintain and improve the Service for your account, and improve the DeepFlow product generally through training of DeepFlow AI models, but not to train or improve Third-Party LLMs (as stated in Section 4.4).
7.3. Workflows and Outputs: You own the specific Workflows generated for your account based on your Prompts and User Data, and you own the outputs generated by executing those Workflows using the Service. However, you acknowledge that the underlying algorithms, methodologies, AI models, prompts, and the structure of the Service used to generate these Workflows and outputs are owned by DeepFlow and our licensors.
7.4. Data Security and Privacy: DeepFlow is committed to protecting the security and privacy of your User Data. We maintain technical and organizational measures designed to protect User Data against unauthorized access, loss, or destruction, in accordance with industry standards (SOC2, ISO27001). Our data processing activities are further detailed in our Privacy Policy at https://deepflow.com/privacy. By using the Service, you agree to the terms of our Privacy Policy.
7.5. GDPR Compliance: DeepFlow takes measures to comply with the UK GDPR and EU GDPR. If you process personal data of individuals located in the UK or EU through the Service, you acknowledge your obligations under GDPR. We recommend and may require you to enter into a Data Processing Addendum (DPA) with us, outlining the specific terms for processing personal data in compliance with GDPR. (See Section 12).

8. Fees and Payment
Your access to and use of the Service are governed by the terms of your separate Contract with DeepFlow. While platform usage may currently be free after entering into a Contract, this is subject to the Fair Usage Policy (Section 3.3). DeepFlow reserves the right to introduce fees for specific features or usage levels in the future, subject to reasonable notice and modification of these Terms, or as agreed in your Contract.

9. Intellectual Property
9.1. DeepFlow IP: The Service, including all software, technology, algorithms, design, user interfaces, trademarks, logos, and content (excluding User Data and outputs owned by you as per Section 7.3), are and shall remain the exclusive property of DeepFlow and its licensors. No rights are granted to you other than as expressly set forth herein.
9.2. User IP: You retain all rights, title, and interest in and to your User Data and the specific Workflows and outputs generated for your account (as per Section 7.3).
9.3. Feedback: If you provide any feedback, suggestions, ideas, or improvements related to the Service ("Feedback"), you hereby grant DeepFlow a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, copy, modify, create derivative works of, publish, and exploit your Feedback for any purpose without any compensation or attribution to you.

10. Confidentiality
Each party agrees to treat the other party's confidential information with the same degree of care as it uses to protect its own confidential information of a similar nature, but no less than reasonable care. Confidential information includes, but is not limited to, non-public technical and business information. This obligation does not apply to information that is or becomes publicly available, was known prior to disclosure, is received from a third party without breach of confidentiality, or is independently developed. Either party may disclose confidential information if required by law or court order, provided that the other party is given reasonable notice where legally permissible.

11. Disclaimers
11.1. General Disclaimer: The Service is provided "as is" and "as available," without warranty of any kind. To the maximum extent permitted by law, DeepFlow disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
11.2. No Warranty on Performance: DeepFlow does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We make no warranty regarding the results that may be obtained from the use of the Service, including the accuracy, completeness, or reliability of AI outputs, generated Workflows, or the performance of Human Agents or Third-Party Services.
11.3. Beta/Free Access Disclaimer: If you are using a free tier, beta version, or trial version of the Service, it is provided for evaluation purposes only, and DeepFlow disclaims all warranties and liability in relation thereto, except as may be required by applicable mandatory law.
11.4. No Legal, Financial, or Professional Advice: The Service is a tool to assist with workflow automation. Any information, outputs, or suggestions provided by the Service are for informational purposes only and do not constitute legal, financial, professional, or any other regulated advice. You should consult with qualified professionals for advice tailored to your specific situation.

12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall DeepFlow, its affiliates, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of or inability to access or use the Service, the performance of AI Agents or Human Agents, or your interactions with Third-Party Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if DeepFlow has been advised of the possibility of such damages.
In no event shall DeepFlow's total aggregate liability to you for all claims arising out of or relating to the Service or these Terms exceed the amount paid by you to DeepFlow, if any, for accessing the Service during the twelve (12) months immediately preceding the event giving rise to the claim. If your access is provided under a free tier, beta, or evaluation basis, DeepFlow's total aggregate liability to you shall not exceed £100.
Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law.

13. Indemnification
You agree to defend, indemnify, and hold harmless DeepFlow, its affiliates, directors, employees, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to legal fees) arising from:
Your access to or use of the Service;
Your violation of these Terms;
Your violation of any third-party right, including without limitation any intellectual property or privacy right;
Any User Data or Prompts you submit;
Any actions taken by AI Agents or Human Agents based on Workflows generated or executed via your account; or
Your interaction with or reliance on Third-Party Services.

14. Termination
14.1. Termination by DeepFlow: We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms, violate the Fair Usage Policy, misuse the Service, or if your underlying Contract with DeepFlow is terminated or expires.
14.2. Termination by User: You may terminate your use of the Service in accordance with the terms of your Contract.
14.3. Effect of Termination: Upon termination, your right to use the Service will immediately cease.
14.4. User Data Upon Termination: Upon termination of your organisation's access to the Service (e.g., termination of your Contract or removal of all active users from your organisation's account), DeepFlow may retain your User Data for a period determined by DeepFlow or required by law. DeepFlow does not guarantee the indefinite retention of User Data after termination, and you acknowledge that your User Data may be deleted at any time following termination without the possibility of recovery. It is your responsibility to export any User Data you wish to retain prior to termination.
14.5. Survival: Sections 1 (Definitions), 4 (AI Agent Specific Terms), 5 (Human Agent Orchestration Specific Terms), 6 (Third-Party Integrations), 7 (User Data), 8 (Fees and Payment - for any outstanding amounts), 9 (Intellectual Property), 10 (Confidentiality), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Termination - specific clauses), 15 (Governing Law and Dispute Resolution), 16 (Changes to Terms), 17 (Other Policies), and 18 (Miscellaneous) shall survive any termination or expiration of these Terms.

15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts located in London, England.

16. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

Privacy Policy: https://deepflow.com/privacy - Describes how we collect, use, and disclose your personal data.
Data Processing Addendum (DPA): If you are a business customer processing personal data of individuals located in the UK or EU, you may be required to enter into a DPA with DeepFlow. Please contact privacy@deepflow.com to request a DPA.

18. Miscellaneous
18.1. Entire Agreement: These Terms, together with the Privacy Policy, your Contract, and any other policies referenced herein, constitute the entire agreement between you and DeepFlow regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
18.2. Waiver: No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of DeepFlow to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
18.3. Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
18.4. Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. DeepFlow may assign or transfer its rights and obligations under these Terms without restriction.
18.5. Force Majeure: DeepFlow shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labour or materials, or failure of the public telecommunications or internet networks, or the failure of Third-Party LLMs or other Third-Party Services.
